1. Scope and Applicability
1.1 The Shopware Academy (“Academy”) is an online training and education platform operated by Shopware AG. It offers registered business customers access to digital learning content, including structured online courses, interactive training sessions, video tutorials, certification programs, and supplementary documentation related to the use and development of Shopware products. The Academy is designed to support and enhance knowledge within the Shopware ecosystem.
1.2 Access to the Academy is provided through the Shopware Community Hub. Exclusive Learning paths and certifications are available through a paid subscription called “Shopware Academy Pass”. The Academy Pass can be completed via the user’s Shopware account or other online booking mechanisms provided by Shopware. By completing the booking process and expressly accepting these Academy Terms, a binding agreement is concluded.
1.3 The Academy is available exclusively to business customers (B2B). Consumers under the meaning of the German Civil Code (BGB) are not eligible to participate.
1.4 By subscribing to the Academy Pass, the customer (“User”) agrees to these Terms. Deviating conditions of the User shall not apply unless Shopware has expressly agreed in writing.
1.5 These Academy Terms exclusively govern the use of the Shopware Academy. The General Terms and Conditions of Shopware AG (GTC of the shopware AG) shall apply in addition, unless they conflict with these Terms. In the event of conflict, these Academy Terms shall prevail.
2. Academy Subscription & Access
2.1 The Academy Pass provides Users with access to a range of exclusive educational materials, training courses, and certifications.
2.2 Access to the Academy is tied to the User’s Shopware account and is non-transferable.
2.3 Shopware reserves the right to modify the content and structure of the Academy at any time, provided such changes do not materially impair the agreed services.
3. Subscription Term & Termination
3.1 The minimum term of the Academy Pass 12 months.
3.2 Unless canceled at least one day before the end of the current term, the subscription renews automatically for the same period.
3.3 Termination can be made via the Shopware account or in writing.
3.4 Shopware may terminate the agreement for good cause, including breach of these Terms, non-payment, or fraudulent activity.
4. Fees & Payment
4.1 The Acadewmy Pass is subject to a fee and is exclusive of VAT.
4.2 Payment is processed via the payment method stored in the User’s account. The User must ensure it is up to date.
4.3 In the event of failed payments, access to the Academy may be suspended until outstanding amounts are settled.
5. Refunds & Withdrawal
5.1 There is no statutory right of withdrawal, as the Academy is available exclusively to business customers.
5.2 Refunds are granted only if Shopware is unable to provide access due to technical failures over a prolonged period.
6. User Responsibilities
6.1 The User agrees to use the Academy lawfully and not share login data with third parties.
6.2 Misuse, including unauthorized distribution or copying of content, is prohibited and may lead to termination and legal action.
7. Certifications & Liability
7.1 Certifications are a subject of fee and may be issued upon successful learning paths test, but do not guarantee employment or third-party recognition.
7.2 Shopware is not liable for how Users apply the knowledge or use certifications. Liability for intent, gross negligence or injury to life, body, or health remains unaffected.
8. Data Protection
8.1 Shopware processes personal data in accordance with GDPR and applicable data protection laws.
8.2 More information is available in the Shopware Privacy Policy.
8.3 The User consents to data processing required for the performance of the Academy services.
9. Governing Law & Jurisdiction
10.1 These Terms are governed exclusively by German law, excluding the CISG.
10.2 Exclusive place of jurisdiction is the registered office of Shopware AG.
In the event of discrepancies between the English and German versions of these Terms, the German version shall prevail.
